Definitions

Term Meaning
Agreed Frequency The scheduled frequency of visits to your registered office, main business location, or remote sessions, as outlined in the Quotation.
Competent Consultant A consultant holding qualifications such as I.O.S.H., M.I.I.R.S.M., IEMA membership, N.E.B.O.S.H., or equivalent certifications relevant to the contract.
Contract Period The duration of the contract as stated in the Quotation.
Contract Acceptance Fee The initial down payment specified in the Quotation.
Monthly Instalments Agreed monthly payments as specified under ‘Payment of the Fee’ in the Quotation.
Quotation The official quotation document attached to these Terms and Conditions.
Start Date The contract commencement date as specified in the Quotation.
Fee The total service fee detailed in the Quotation.

You / Your The company, business, or organisation named in the Quotation.

Services

  • We provide confidential consultancy services at your registered office, main place of business, or remotely as required at the Contract Period start.
  • Services include audits and management system reviews based on your provided documentation.
  • We deliver relevant management system documents such as policies, procedures, or forms customized to your working environment.
  • You are responsible for implementing all provided management documentation.
  • Risk Assessments will be created if required; your nominated personnel will review and update these after attending our Risk Assessment Training Workshop (free of charge).
  • We monitor your progress through visits or remote reviews at the Agreed Frequency.
  • Consultancy advice is provided during office hours (09:00–17:00, Mon-Fri, excluding holidays). Additional work or extended support may incur extra charges as detailed in the Quotation.
  • Advice is delivered by a Competent Consultant or a qualified team member.

 

Payment Terms

2.1Payment of the Fee is due in consideration for consultancy services provided.
2.2Payment structure:
– Contract Acceptance Fee upon Quotation acceptance
– Monthly instalments by standing order as per the Quotation
2.3If payment is not received, the full remaining balance is due immediately, and services may be suspended.

Your Responsibilities

  • You must promptly inform us of any changes to your requirements.
  • You are responsible for acting on our advice and updating any management documentation accordingly.
  • We are not liable for issues caused by your failure to act on recommendations.

Termination

We may terminate this agreement immediately if:

4.1.1You fail to meet obligations and do not remedy within 30 days of written notice.
4.1.2You provide inaccurate or misleading information about employees, incidents, or practices.
4.1.3You fail to keep us informed about relevant employees, incidents, or activities.
4.1.4You fail to notify us of facts that may lead to fines, sanctions, disputes, or prosecutions.

Liability

  • Our liability to you is limited to the Fee paid.
  • We are not responsible for any consequential losses.
  • You indemnify us against claims or damages related to our service provision.

Intellectual Property

ClauseDetails
6.1All copyright in documents produced by us remains with Compliant Retrofits Ltd unless otherwise agreed.
6.2You are granted a royalty-free license to use provided management system documents during the copyright period.

Miscellaneous

  • These Terms and the Quotation are governed by the laws of England and Wales.
  • Our Standard Terms of Business apply; where conflicts arise, these Terms prevail.
  • We are not liable for failures caused by events beyond our control (e.g., natural disasters, strikes, terrorism).
  • No waiver of breach shall affect other breaches.
  • If any term is invalid, the rest remain effective.
  • We may update these Terms with at least one month’s written notice.
